GRANTING OF LICENSE.

TechNotate.com, as "Licensor" or "TechNotate", grants to you, the visitors and users of our site, hereinafter known as "Licensee", a non-exclusive license to use this web site and/or hosted software (hereinafter referred to as the "SERVICE") in accordance with the terms contained in this license.

COPYRIGHT.

All title and copyrights in and to the SERVICE, including but not limited to any images, texts, and sounds incorporated into the SERVICE, are owned by TechNotate or its suppliers. All trademarks are web sites shown as examples of our current and former clients remain property of their respectful owners, TechNotate makes no claim to ownership of those particular third party client sites.

PAYMENT.

If you have registered for a paid account with the SERVICE, your payment for all services will be processed by a third party credit card processor such as PayPal and oDesk.com.

ALL SALES ARE FINAL.

All sales made on, to or through TechNotate are final. By submitting the signup or purchase form, you hereby agree that you are an authorized party, and that all sales are final. TechNotate is not responsible for any business conducted between Licensee, oDesk and PayPal. TechNotate makes no claims or guarantees, of any kind, regarding any transactions between Licensee, oDesk and PayPal.

PROHIBITED USE.

Using the SERVICE to send any form of SPAM is strictly prohibited. Any Licensee of the SERVICE found spamming or engaging in fraudulent activity will be immediately removed from the SERVICE and no money refunded.

The SERVICE must not be used to commit fraud nor to be used for any illegal or unethical activities.

DISCLAIMER OF WARRANTY.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TechNotate DOES NOT WARRANT THAT SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TechNotate DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF PERFORMANCE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. ACCOUNT TERMINATION.

TechNotate reserves the right to terminate Licensee's account without notice if the Licensee does not use the SERVICE according to these Terms and Conditions or to Licensee which we, at our sole judgment, think is inappropriate to be a Licensee of the SERVICE.

MISCELLANEOUS.

This document shall be construed in accordance with the laws of United States of America, State of Hawaii. You agree that jurisdiction over any disputes arising in connection with your use of the SERVICE shall be exclusively within the courts of Hawaii, USA. You agree that the prevailing party is entitled to recover attorney's fees in connection with the successful enforcement of these Terms and Conditions. TechNotate may modify these Terms and Conditions upon reasonable notice to you, and your continued use of the SERVICE shall constitute your acceptance of such modifications. If any of the provisions of these Terms and Conditions are found to be unenforceable, the remaining provisions will remain in full force and effect.
